These Terms of Service (“Terms”) govern your access to and use of the websites, client area, products, and services provided by ServerDots Ltd (“ServerDots”, “we”, “our”, or “us”).
By accessing our Website, creating an account, placing an order, or using any of our Services, you acknowledge that you have read, understood, and agree to be legally bound by these Terms, together with our Privacy Policy, Acceptable Use Policy, Refund Policy, Cookie Policy, Service Level Agreement (where applicable), Data Processing Agreement (where applicable), and any other policies published on our Website.
If you do not agree with these Terms, you must not access or use our Services.
1. Definitions #
For the purposes of these Terms, the following definitions apply:
Account means the customer account created to access or manage our Services.
Agreement means these Terms together with all policies incorporated by reference.
Client Area means the ServerDots customer portal available at:
Content means any information, files, software, text, images, audio, video, databases, websites, emails, or other material stored, transmitted, or processed through our Services.
Customer, you, and your mean the individual or legal entity purchasing or using the Services.
Order means any request submitted to purchase or renew a Service.
Services means all products and services offered by ServerDots, including but not limited to:
- Shared Hosting
- WordPress Hosting
- Reseller Hosting
- Linux VPS
- Windows VPS
- Dedicated Servers
- Domain Registration
- SSL Certificates
- Email Hosting
- Website Builder
- Related hosting and internet services

2. Acceptance of these Terms #
By creating an Account, submitting an Order, making a payment, accessing our Website, or using any Service provided by ServerDots, you agree to be legally bound by these Terms.
These Terms constitute a legally binding agreement between you and ServerDots Ltd.
If you are entering into this Agreement on behalf of a company, partnership, organisation, government entity, or other legal person, you represent and warrant that you have the authority to bind that entity to these Terms.
If you do not have such authority, or if you do not agree with these Terms, you must not use the Services.
3. Eligibility #
To use our Services, you must:
- Be at least eighteen (18) years of age or the age of legal majority in your jurisdiction;
- Have the legal capacity to enter into binding contracts;
- Provide accurate, current, and complete registration information;
- Maintain the accuracy of your account information;
- Comply with all applicable laws and regulations; and
- Not be prohibited from receiving our Services under applicable law.
ServerDots reserves the right to refuse service, decline an Order, or terminate an Account where eligibility requirements are not satisfied.
4. Customer Account #
Certain Services require the creation of a customer Account.
You agree to provide accurate, complete, and up-to-date information during registration and throughout the duration of your relationship with ServerDots.
You are responsible for maintaining the confidentiality of your login credentials and for all activities carried out using your Account.
You must immediately notify ServerDots if you become aware of:
- Unauthorised access;
- Suspected compromise of your Account;
- Loss of authentication credentials;
- Any other security incident affecting your Account.
ServerDots may rely upon instructions received through your Account until we receive notice of unauthorised access and have had a reasonable opportunity to investigate.
You are responsible for ensuring that authorised users of your Account comply with these Terms.
5. Our Services #
ServerDots provides cloud and internet infrastructure services including hosting, domain registration, SSL certificates, and related online services.
The specific features, specifications, limitations, resource allocations, pricing, and service levels applicable to each Service are described on our Website or within the applicable Order.
ServerDots continually improves its Services and reserves the right to modify, upgrade, replace, discontinue, or enhance any Service where reasonably necessary for operational, security, legal, or commercial reasons.
Such changes will not materially reduce the core functionality of an active Service except where necessary for security, legal compliance, infrastructure upgrades, or circumstances beyond our reasonable control.
6. Orders and Service Provisioning #
Submission of an Order does not constitute acceptance by ServerDots.
An Order shall be deemed accepted only when:
- payment has been successfully received and verified (where applicable);
- required fraud prevention or identity verification checks have been completed;
- the requested Service is available; and
- ServerDots has provisioned or activated the Service.
ServerDots reserves the right to reject or cancel any Order prior to activation where:
- inaccurate or misleading information has been provided;
- fraud is suspected;
- payment cannot be verified;
- the requested Service is unavailable;
- the Order would violate applicable laws, sanctions, or regulations; or
- the Order would expose ServerDots or its customers to unacceptable operational or security risks.
Estimated provisioning times are provided for guidance only and do not constitute guaranteed activation times unless expressly stated in a separate Service Level Agreement.
Certain Services, including dedicated servers, custom infrastructure, or manually provisioned products, may require additional processing time.
Ownership of Services remains subject to full payment of all applicable fees.
7. Pricing, Billing & Payment #
7.1 Pricing
The prices for our Services are published on our Website or otherwise communicated to you before an Order is placed. Unless expressly stated otherwise, all prices are quoted in the applicable billing currency and exclude any taxes, duties, or governmental charges that may apply.
ServerDots reserves the right to modify the pricing of its Services at any time. Price changes will not affect the current billing term of an active Service but may apply upon renewal or purchase of additional Services.
7.2 Billing
By placing an Order, you authorise ServerDots to issue invoices for the applicable fees associated with your Services.
Invoices are generally issued before the applicable due date and are made available through your Client Area. It is your responsibility to review invoices and ensure timely payment.
Failure to receive an invoice, reminder, or other billing notification does not relieve you of your obligation to pay all applicable fees by the due date.
7.3 Payment Methods
ServerDots accepts payment through the payment methods displayed during the checkout process or within the Client Area. Available payment methods may change from time to time.
Payments are processed by independent third-party payment providers. ServerDots does not store complete payment card details unless expressly stated.
You represent and warrant that you are authorised to use the selected payment method and that all payment information provided is accurate and complete.
7.4 Late Payments
All invoices must be paid on or before the stated due date.
If payment is not received when due, ServerDots may, without prior notice:
- Suspend the affected Service;
- Restrict access to the Service;
- Decline renewal requests;
- Withhold technical support related to unpaid Services;
- Charge applicable late payment fees where permitted by law; or
- Terminate the Service in accordance with these Terms.
Outstanding balances remain payable even if Services have been suspended.
7.5 Failed Payments
Where an automatic payment attempt fails, you remain responsible for ensuring that payment is successfully completed before the applicable due date.
Repeated failed payment attempts may result in suspension or cancellation of the affected Services.
8. Renewals and Auto-Renewal #
8.1 Service Renewals
Unless otherwise stated, Services are provided for the billing period selected at the time of purchase and may be renewed for additional billing periods.
Renewal invoices are generally generated before the expiry date to allow sufficient time for payment processing.
8.2 Auto-Renewal
Where automatic renewal has been enabled, ServerDots may attempt to collect payment using your selected payment method before the renewal date.
You are responsible for ensuring that:
- Your payment information remains valid;
- Sufficient funds are available; and
- Automatic renewal settings remain accurate.
ServerDots does not guarantee successful automatic payment processing.
8.3 Renewal Responsibility
Regardless of whether automatic renewal is enabled, you remain solely responsible for ensuring that Services are renewed before their expiry date.
Failure to renew a Service may result in:
- Service interruption;
- Suspension;
- Permanent deletion of hosted data;
- Domain expiration;
- Loss of domain registration;
- Release of IP addresses;
- Permanent removal of backups; or
- Other irreversible consequences.
ServerDots accepts no responsibility for losses resulting from failure to renew Services.
9. Refunds and Chargebacks #
9.1 Refund Policy
Refund eligibility, applicable guarantee periods, exclusions, and the procedure for requesting a refund are governed by our Refund Policy, which forms part of these Terms.
Not all Services are refundable. Certain products, including but not limited to domain registrations, domain renewals, SSL certificates, software licenses, customised services, and other third-party products, may be non-refundable once purchased or provisioned.
9.2 Chargebacks
Customers agree to contact ServerDots before initiating a payment dispute or chargeback.
Where a chargeback or payment reversal is initiated without reasonable justification, ServerDots reserves the right to:
- Suspend all associated Services;
- Terminate affected Accounts;
- Recover any unpaid balances;
- Recover applicable chargeback fees;
- Decline future Orders; and
- Take legal action where appropriate.
Chargebacks relating to validly supplied Services may be treated as a material breach of these Terms.
9.3 Fraudulent Payments
ServerDots reserves the right to investigate any transaction suspected of fraud, unauthorised use, money laundering, or other unlawful activity.
Services associated with suspected fraudulent payments may be suspended immediately pending investigation.
10. Taxes #
Unless expressly stated otherwise, prices displayed by ServerDots exclude applicable taxes.
You are responsible for paying all taxes, duties, levies, withholding taxes, value added taxes (VAT), goods and services taxes (GST), sales taxes, or similar governmental charges applicable to your purchase of the Services, except taxes imposed on ServerDots’ income.
Where ServerDots is legally required to collect taxes, such amounts will be added to your invoice and must be paid together with the applicable Service fees.
If you are entitled to an exemption from applicable taxes, you must provide valid documentation before the relevant invoice is issued.
11. Customer Responsibilities #
As a condition of using the Services, you agree to:
- Provide accurate and complete information;
- Maintain current contact and billing information;
- Keep your Account credentials secure;
- Maintain appropriate backups of your data unless backup services are expressly included with your Service;
- Ensure that your systems, software, and applications remain secure and up to date;
- Use the Services only for lawful purposes;
- Comply with these Terms and all applicable policies;
- Respect the rights of other users and third parties; and
- Cooperate with reasonable requests relating to security incidents, abuse investigations, or legal compliance.
You are solely responsible for:
- All Content stored, transmitted, or processed through your Services;
- The activities of anyone using your Account or Services with your authorisation;
- Maintaining the security of websites, applications, scripts, databases, and software you install or operate; and
- Ensuring that your use of the Services complies with all applicable laws and regulations.
You must not use the Services in any manner that may interfere with the operation, security, stability, or reputation of ServerDots or its customers.
Failure to comply with these responsibilities may result in suspension or termination of the affected Services in accordance with these Terms.
12. Acceptable Use #
12.1 Compliance
Customers must use the Services responsibly, lawfully, and in accordance with these Terms, our Acceptable Use Policy (“AUP”), and all applicable local, national, and international laws and regulations.
You are solely responsible for all Content hosted, transmitted, stored, or otherwise processed through your Services.
12.2 Prohibited Activities
You must not use the Services to engage in or facilitate activities including, but not limited to:
- Illegal or fraudulent activities;
- Distribution of malware, ransomware, spyware, viruses, or other malicious software;
- Phishing, identity theft, impersonation, or social engineering;
- Spam, unsolicited bulk email, or email abuse;
- Network scanning, port scanning, or unauthorized vulnerability testing;
- Denial-of-Service (DoS) or Distributed Denial-of-Service (DDoS) attacks;
- Unauthorized access to systems, networks, or data;
- Distribution of copyrighted material without authorization;
- Hosting or distributing child sexual abuse material or other unlawful content;
- Promotion of terrorism, violence, or hate-based activities;
- Cryptocurrency mining without prior written authorization;
- Abuse of shared system resources;
- Activities that interfere with the security, stability, or performance of our Services or those of other customers.
This list is not exhaustive. Additional prohibited activities are described in our Acceptable Use Policy.
12.3 Investigation of Abuse
ServerDots reserves the right to investigate reports of abuse, suspected violations of these Terms, or activities that may threaten the security, integrity, or reputation of our Services.
Customers agree to cooperate with reasonable investigations conducted by ServerDots.
12.4 Enforcement
Where ServerDots reasonably believes that these Terms, our Acceptable Use Policy, or applicable law have been violated, we may, without prior notice where reasonably necessary:
- Suspend or restrict Services;
- Remove or disable access to Content;
- Block network traffic;
- Reset passwords or authentication credentials;
- Decline future Orders;
- Report unlawful activities to competent authorities; or
- Terminate the affected Services or Account.
ServerDots shall determine, in its reasonable discretion, the appropriate action necessary to protect its infrastructure, customers, and legal obligations.
13. Shared Hosting Services #
13.1 Nature of Shared Hosting
Shared Hosting Services operate within a shared server environment where computing resources are allocated among multiple customers.
Customers acknowledge that system resources, including CPU, memory, storage, network bandwidth, and input/output operations, are shared with other users.
13.2 Fair Use
Customers must use Shared Hosting Services in a manner consistent with normal website and application hosting.
Activities that consume excessive system resources or adversely affect other customers may require corrective action by ServerDots.
Where resource usage materially impacts service stability, ServerDots may:
- Request optimisation of the hosted application;
- Temporarily limit resource usage;
- Recommend migration to a VPS or Dedicated Server;
- Suspend the affected Service where necessary to protect platform stability.
13.3 Software Responsibility
Customers are responsible for:
- Installing supported software;
- Maintaining website security;
- Updating CMS platforms, plugins, themes, and scripts;
- Securing passwords;
- Removing vulnerable software.
ServerDots is not responsible for vulnerabilities introduced by customer-installed applications.
13.4 Resource Abuse
Activities such as cryptocurrency mining, proxy services, file storage unrelated to website hosting, excessive background processing, automated crawling, or any activity inconsistent with ordinary shared hosting may be prohibited.
14. VPS and Dedicated Server Services #
14.1 Customer Administration
Unless a managed service has been purchased, VPS and Dedicated Server Services are provided on a self-managed basis.
Customers are solely responsible for:
- Operating system administration;
- Software installation;
- Security configuration;
- Firewall management;
- User account management;
- Backup management;
- Patch management;
- Monitoring system health.
14.2 Security Responsibilities
Customers must take reasonable steps to secure their servers against unauthorised access, malware, exploitation, and abuse.
Failure to maintain reasonable security may result in temporary suspension where necessary to protect ServerDots’ infrastructure or other customers.
14.3 Network Abuse
Customers must not operate services that generate excessive malicious traffic, participate in botnets, relay spam, conduct attacks against third parties, or otherwise jeopardise the stability or reputation of ServerDots’ network.
14.4 Emergency Action
Where a VPS or Dedicated Server presents an immediate security threat, ServerDots may, without prior notice where reasonably necessary:
- Isolate the server;
- Restrict network connectivity;
- Suspend affected services;
- Apply temporary mitigation measures;
- Remove malicious processes where authorised by applicable agreements.
These measures are intended solely to minimise operational and security risks.
15. Domain Name Services #
15.1 Registration Services
ServerDots may facilitate the registration, renewal, transfer, or management of domain names through accredited registrars or registry operators.
Domain registrations remain subject to the policies, rules, and contractual requirements of the applicable registry, registrar, and relevant regulatory authorities.
15.2 Registration Information
Customers are responsible for providing accurate, complete, and current domain registration information.
Failure to maintain accurate registration details may result in suspension, cancellation, transfer restrictions, or loss of the domain name.
15.3 Domain Renewals
Customers are solely responsible for renewing domain names before their expiry date.
Failure to renew a domain may result in:
- Suspension of associated services;
- Loss of the domain name;
- Redemption fees;
- Auction or release of the domain by the registry;
- Permanent inability to recover the domain.
ServerDots shall not be liable for losses resulting from expired or unrecovered domain names.
15.4 Domain Disputes
ServerDots is not responsible for resolving ownership disputes relating to domain names.
Disputes may be governed by applicable registry policies, including the Uniform Domain Name Dispute Resolution Policy (UDRP), court proceedings, or other applicable legal processes.
16. SSL Certificates #
ServerDots may offer SSL certificates through third-party Certificate Authorities (CAs).
Issuance, validation, renewal, suspension, revocation, and expiration of SSL certificates remain subject to the applicable policies and requirements of the issuing Certificate Authority.
Customers are responsible for:
- Providing accurate validation information;
- Completing validation requirements;
- Renewing certificates before expiration where automatic renewal is unavailable;
- Proper installation unless managed installation is included.
ServerDots does not guarantee that any Certificate Authority will issue, renew, or maintain a certificate.
Where an SSL certificate is revoked, suspended, expires, or is otherwise invalidated by the issuing Certificate Authority, ServerDots shall not be liable for resulting service interruptions or associated losses.
17. Email Services #
17.1 Service Scope
Where Email Hosting Services are included with your hosting plan or purchased separately, ServerDots provides email infrastructure for legitimate business and personal communications.
Email Services are provided subject to these Terms, our Acceptable Use Policy, and applicable industry standards.
17.2 Customer Responsibilities
You are responsible for:
- Securing email account credentials;
- Maintaining strong passwords;
- Protecting devices used to access email accounts;
- Configuring email clients correctly;
- Monitoring mailbox storage limits;
- Ensuring compliance with applicable anti-spam laws.
17.3 Prohibited Email Activities
Customers must not use the Email Services to:
- Send unsolicited bulk email (spam);
- Distribute malware or phishing emails;
- Operate open relays;
- Send deceptive or fraudulent communications;
- Harvest email addresses;
- Circumvent spam filtering systems;
- Violate applicable anti-spam legislation.
ServerDots reserves the right to suspend or restrict email services where such activities are detected or reasonably suspected.
17.4 Delivery
Email delivery depends upon numerous third-party systems outside the control of ServerDots.
Accordingly, ServerDots does not guarantee that any email will be delivered successfully, delivered within a specific timeframe, or accepted by the recipient’s mail server.
18. Backups and Customer Data #
18.1 Customer Responsibility
Unless expressly included within the purchased Service, customers are solely responsible for maintaining complete, accurate, and current backups of all websites, databases, applications, emails, and other Content.
Customers should maintain independent backups stored separately from the ServerDots infrastructure.
18.2 Courtesy Backups
Where ServerDots provides backup services or courtesy backups, such backups are offered solely as a convenience.
Courtesy backups:
- Are not guaranteed;
- May not include all data;
- May not be available at all times;
- May be deleted without notice after retention periods expire.
Customers should never rely exclusively upon courtesy backups.
18.3 Data Restoration
Where backup restoration services are available, restoration requests will be handled on a reasonable efforts basis.
ServerDots does not guarantee:
- Successful recovery;
- Recovery of every file;
- Recovery to a particular point in time;
- Availability of historical backups.
18.4 Data Loss
To the maximum extent permitted by law, ServerDots shall not be liable for loss of data, corruption of data, deletion of files, database corruption, or failure to recover backups, regardless of cause.
19. Service Availability #
19.1 Availability
ServerDots uses commercially reasonable efforts to maintain reliable and continuous operation of its Services.
However, continuous or uninterrupted availability cannot be guaranteed.
Service interruptions may occur due to:
- Scheduled maintenance;
- Emergency maintenance;
- Network failures;
- Hardware failures;
- Software defects;
- Third-party provider outages;
- Internet routing issues;
- Cybersecurity incidents;
- Force majeure events.
19.2 No Guaranteed Uptime
Unless expressly stated in a separate Service Level Agreement (“SLA”), ServerDots does not guarantee any minimum uptime percentage.
Any uptime commitment applies only where specifically described in an applicable SLA.
19.3 Third-Party Infrastructure
Certain Services depend upon third-party providers including:
- Data centres;
- Network operators;
- Domain registrars;
- Certificate Authorities;
- Payment providers;
- Cloud infrastructure providers.
ServerDots is not responsible for outages or failures caused by such third parties.
20. Scheduled Maintenance #
ServerDots may perform scheduled maintenance to improve security, stability, reliability, or functionality.
Where reasonably practicable, advance notice of scheduled maintenance will be provided through the Client Area, email, or other appropriate communication channels.
Emergency maintenance may be performed without prior notice where necessary to:
- Protect infrastructure;
- Address critical vulnerabilities;
- Prevent service disruption;
- Respond to security incidents;
- Comply with legal obligations.
Customers acknowledge that temporary interruptions during maintenance do not constitute a breach of these Terms.
21. Suspension of Services #
21.1 Grounds for Suspension
ServerDots reserves the right to suspend any Service immediately, with or without prior notice where reasonably necessary, including where:
- Payment remains overdue;
- Fraud is suspected;
- The Services are used unlawfully;
- These Terms or the Acceptable Use Policy are violated;
- Security risks are identified;
- Malware or malicious activity is detected;
- Excessive resource usage threatens platform stability;
- A competent authority requires suspension;
- Suspension is necessary to protect ServerDots, its customers, or third parties.
21.2 Effect of Suspension
During suspension, ServerDots may restrict or disable access to:
- Websites;
- Email services;
- Databases;
- Virtual servers;
- Dedicated servers;
- Client Area functions;
- Associated Services.
Suspension does not relieve customers of their obligation to pay outstanding fees.
21.3 Restoration of Services
Where the reason for suspension has been resolved, ServerDots may, at its reasonable discretion, restore the affected Services.
Restoration may be subject to:
- Payment of outstanding invoices;
- Removal of prohibited Content;
- Security remediation;
- Verification of customer identity;
- Compliance with these Terms.
ServerDots does not guarantee restoration where Services have already been terminated, expired, or permanently deleted.
22. Termination #
22.1 Termination by Customer
You may terminate any Service by submitting a cancellation request through the Client Area before the applicable renewal date.
Termination of a Service does not relieve you of any outstanding payment obligations incurred before the effective date of termination.
Unless otherwise stated in our Refund Policy, prepaid fees are non-refundable upon cancellation.
22.2 Termination by ServerDots
ServerDots may terminate any Service or Account immediately, with or without prior notice where reasonably necessary, including where:
- You materially breach these Terms;
- Payment remains outstanding;
- Fraudulent or unlawful activity is suspected;
- Continued provision of the Service would expose ServerDots or its customers to legal, operational, or security risks;
- Required by law or regulatory authority; or
- The Service has been suspended for an extended period without resolution.
22.3 Effect of Termination
Upon termination:
- Access to the affected Services may cease immediately;
- Hosted Content may become inaccessible;
- Associated backups may be permanently deleted after applicable retention periods;
- Licences granted under these Terms shall terminate;
- Outstanding fees shall become immediately payable.
Customers are responsible for retrieving their data before termination becomes effective.
ServerDots is under no obligation to retain customer data beyond applicable retention periods.
23. Intellectual Property #
All intellectual property rights relating to the Website, Client Area, software, branding, documentation, trademarks, logos, graphics, designs, and Services remain the exclusive property of ServerDots Ltd or its licensors.
Nothing contained in these Terms transfers ownership of any intellectual property rights to the Customer.
Customers retain ownership of the Content they upload to the Services. By using the Services, Customers grant ServerDots a limited, non-exclusive licence to process, store, transmit, reproduce, and otherwise use such Content solely as necessary to provide, maintain, secure, and improve the Services.
You must not copy, reproduce, modify, distribute, reverse engineer, decompile, resell, or create derivative works from any part of the Services except where expressly permitted by applicable law or with our prior written consent.
24. Third-Party Services #
Certain Services may incorporate products, software, infrastructure, or services provided by independent third parties, including but not limited to domain registrars, payment processors, software vendors, Certificate Authorities, cloud infrastructure providers, and data centre operators.
Your use of such third-party services may also be subject to the applicable terms, conditions, licences, and policies of those providers.
ServerDots is not responsible for the acts, omissions, availability, performance, or policies of independent third-party providers.
25. Disclaimer of Warranties #
Except as expressly stated in these Terms or required by applicable law, the Services are provided on an “as is” and “as available” basis.
To the fullest extent permitted by law, ServerDots disclaims all warranties, representations, and conditions, whether express, implied, statutory, or otherwise, including but not limited to warranties of:
- Merchantability;
- Fitness for a particular purpose;
- Non-infringement;
- Continuous availability;
- Uninterrupted operation;
- Error-free performance;
- Compatibility with third-party software; and
- Security against every possible threat.
ServerDots does not warrant that the Services will always meet your specific requirements or expectations.
26. Limitation of Liability #
To the maximum extent permitted by applicable law, ServerDots, its directors, officers, employees, affiliates, suppliers, licensors, and service providers shall not be liable for any:
- Indirect losses;
- Incidental damages;
- Consequential damages;
- Special damages;
- Exemplary damages;
- Punitive damages;
- Loss of profits;
- Loss of revenue;
- Loss of business opportunities;
- Loss of goodwill;
- Loss or corruption of data;
- Business interruption; or
- Any other economic loss arising from or relating to the use of the Services.
Where liability cannot legally be excluded, ServerDots’ total aggregate liability arising out of or relating to these Terms or the Services shall not exceed the total amount actually paid by the Customer to ServerDots for the affected Service during the twelve (12) months immediately preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits liability that cannot legally be excluded under applicable law, including liability for fraud, fraudulent misrepresentation, or death or personal injury caused by negligence where such exclusion is prohibited by law.
27. Indemnification #
You agree to defend, indemnify, and hold harmless ServerDots Ltd, its directors, officers, employees, contractors, affiliates, licensors, suppliers, and service providers from and against any claims, actions, liabilities, damages, losses, costs, expenses, or reasonable legal fees arising out of or relating to:
- Your use of the Services;
- Your breach of these Terms;
- Your violation of applicable laws or regulations;
- Your infringement of any intellectual property or other rights of any third party; or
- Any Content hosted, transmitted, or processed through your Services.
This obligation survives termination of these Terms.
28. Privacy and Data Protection #
ServerDots processes personal information in accordance with its Privacy Policy and applicable data protection laws.
By using the Services, you acknowledge that personal information may be collected, processed, stored, and transferred as described in our Privacy Policy.
Where applicable, separate Data Processing Agreements (DPAs) may apply to customers acting as data controllers under relevant data protection legislation.
29. Force Majeure #
ServerDots shall not be liable for any delay, interruption, or failure to perform its obligations where such failure results from events beyond its reasonable control.
Such events may include, but are not limited to:
- Natural disasters;
- War;
- Terrorism;
- Civil unrest;
- Government actions;
- Labour disputes;
- Internet failures;
- Power outages;
- Cybersecurity incidents;
- Network failures;
- Pandemic or public health emergencies;
- Acts or omissions of third-party providers.
Performance shall be suspended for the duration of the force majeure event.
30. Changes to Services and Terms #
ServerDots may modify these Terms or any aspect of the Services where reasonably necessary to:
- Reflect changes in law;
- Improve security;
- Introduce new features;
- Discontinue obsolete functionality;
- Address operational requirements; or
- Protect legitimate business interests.
Material changes will be published on our Website and may also be communicated through the Client Area or by email where appropriate.
Your continued use of the Services after the effective date of revised Terms constitutes acceptance of the updated Terms.
31. Governing Law and Jurisdiction #
These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.
Subject to applicable consumer protection laws, the courts of England and Wales shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services.
Nothing in this section limits ServerDots’ right to seek interim, injunctive, or other appropriate legal relief in any court of competent jurisdiction where necessary to protect its rights or enforce these Terms.
32. Electronic Communications #
You agree that ServerDots may provide all notices, invoices, service announcements, support communications, legal notices, and other communications relating to your Account or the Services electronically.
Such communications may be delivered through:
- Email sent to the email address associated with your Account;
- The Client Area;
- Our Website; or
- Any other electronic communication method we reasonably determine to be appropriate.
Electronic communications shall be deemed received on the date they are sent or made available, unless otherwise required by applicable law.
You are responsible for maintaining a valid and current email address and regularly checking your Account and email for important communications from ServerDots.
33. Severability #
If any provision of these Terms is determined by a court or other competent authority to be unlawful, invalid, or unenforceable, that provision shall be deemed severed only to the minimum extent necessary, and the remaining provisions shall remain valid, enforceable, and in full force and effect.
Where possible, any invalid or unenforceable provision shall be interpreted or replaced with a valid provision that most closely reflects the original commercial intent.
34. No Waiver #
No failure or delay by ServerDots in exercising any right, remedy, or provision under these Terms shall constitute a waiver of that right or any other right.
Any waiver shall be effective only if made expressly in writing by an authorised representative of ServerDots.
A waiver of any breach shall not constitute a waiver of any subsequent or continuing breach.
35. Assignment #
You may not assign, transfer, delegate, sublicense, or otherwise dispose of any of your rights or obligations under these Terms without the prior written consent of ServerDots.
ServerDots may assign, transfer, subcontract, delegate, or otherwise dispose of any of its rights or obligations under these Terms without your consent, including in connection with:
- A merger;
- Acquisition;
- Corporate restructuring;
- Sale of assets;
- Business transfer; or
- Any successor organisation.
These Terms shall be binding upon and benefit the parties and their respective permitted successors and assigns.
36. Entire Agreement #
These Terms, together with our Privacy Policy, Acceptable Use Policy, Refund Policy, Cookie Policy, Service Level Agreement (where applicable), Data Processing Agreement (where applicable), and any additional policies or agreements expressly incorporated by reference, constitute the entire agreement between you and ServerDots concerning the Services.
They supersede all prior or contemporaneous agreements, communications, representations, negotiations, understandings, and proposals, whether oral or written, relating to the same subject matter.
Nothing in these Terms limits any rights or obligations that cannot legally be excluded under applicable law.
